For good and valuable consideration, the receipt of which is acknowledged by each party, the parties agree as follows:

1. Services. socialVideobytes and its Parent, Involved technology, LTD. (SVB), a Bermuda Corporation, shall provide In-Player Video and banner advertising services (Services) to your FB App or FB Connect site (the Company). in accordance with this Agreement.
   
   
2. Payment. Payment terms are 45 days after the end of the month in which the advertising ran. Payments are made via wire transfer or ACH transfer. Payments are based upon SVB stats and revenue numbers which are posted in real time on the SVB login site.
   
   
3. Pricing and Exclusivity on In-Player Video Advertising. In-Player Video Advertising Inventory (Video Advertising running in a video player similar to that provided by SVB through the code given to the Company) shall be provided by the Company to SVB on an exclusive basis. Pricing will be jointly agreed to based on Cost Per Thousand (CPM) impressions. The Company will not accept other In-Player Video Advertising units from any other company, ad network or media representation firm during the term of this Agrement. However, In banner-video advertising is acceptable and it is fully excluded from this Agreement.
   
   
4. Term. This Agrement shall commence on the Effective Date, which is the first day that the SVB In-Player Video ad runs on the Company.
   
   
5. Termination. At any time during the Term, this Agreement may be terminated upon thirty (30) days written notice. Termination of Service shall not relieve the paying party of its obligation to pay to the other party fees and other sums that have accrued for Services rendered or any claims which a party may have against the other relating to this Agreement and shall not impact the obligations of the parties.
   
   
6. Proprietary Rights and Restrictions. Company shall retain all proprietary rights in and to its FB Apps, FB Connect, Web site(s), trademarks and any content that Company supplies or uses in connections with the Services. SVB retains all proprietary rights in and to all SVB intellectual property and any Services provided hereunder such as software, source code, derivitive works.
   
   
7. Representations and Warranties. Each party warrants and represents at all times that (i) it has the right and full power and authiruty to enter into this Agreement, (ii) it is duly organized and validly existing and in good standing under the laws of the state/country of its incorporation or formation and (iii) the execution of this Agreement and the performance by such party do not violate any other existing agreement.
